Payment Terms

Client shall pay Contractor strictly in accordance with the payment schedule set forth in the written agreement or proposal governing the project. Unless otherwise stated, a deposit or mobilization payment is required prior to commencement of work, with progress payments due upon completion of agreed project milestones.

Final payment is due immediately upon substantial completion of the work and prior to delivery of warranties, lien waivers, or close-out documentation.

Accepted forms of payment include ACH transfer, check, wire transfer, or other approved methods.

Late Payments

Any payment not received within five (5) calendar days of its due date shall be considered delinquent and may accrue interest at the rate of 1.5% per month (18% annually) or the maximum rate permitted under Missouri law, whichever is less.

Client agrees to reimburse Contractor for all reasonable costs of collection, including attorneys’ fees, court costs, and collection agency fees where allowed by law.

Suspension of Work

If payment is not timely made, Contractor may suspend work after written notice. Contractor shall not be responsible for delays or damages resulting from such suspension, and the contract time shall be equitably extended. Any demobilization or remobilization costs caused by non-payment shall be billed to Client.

Change Orders

All changes to the scope of work must be authorized in writing prior to execution. Change orders may require advance payment and shall be invoiced separately from the original contract sum.

Non-Waiver of Lien Rights

Nothing contained herein shall be construed as a waiver of Contractor’s rights to file or enforce mechanic’s liens, bond claims, or other statutory remedies under Missouri law for unpaid labor, materials, or services.

Deposits

Unless otherwise stated in writing, deposits become non-refundable once materials are ordered, permits are applied for, or labor is scheduled.

Pay-When-Paid Disclaimer

Payment obligations shall not be contingent upon Client’s receipt of funds from any lender, insurer, or third party unless expressly agreed to in writing.
